Terms of Service

Our work

Website builds are quoted before work starts. The one-time build fee covers the pages and features agreed at the outset; extra work is quoted separately.

Payment

Build fees are invoiced in line with the agreed schedule. Monthly upkeep is billed each month and can be cancelled at any time before the next billing date.

Content and ownership

You confirm you have the rights to any text, images or logos you send us. Once the build is paid in full, the finished site is yours.

Business Clients Only

1. CLIENT AGREEMENT

1.1 Parties

This Client Agreement is between Spydra Designs (“we”, “us”, “our”) and the Client (“you”, “your”).

1.2 Business Clients Only

Spydra Designs provides services to businesses and business customers only. We do not accept projects from consumers acting wholly for personal purposes.

1.3 Services

Spydra Designs provides website design, website development, website redesign, website setup, domain connection, basic website maintenance, website updates and ongoing website management where agreed.

1.4 Project Scope

The services, requirements and price will be agreed before work begins. The Client is responsible for supplying required text, images, branding, logos and other materials unless otherwise agreed.

1.5 Payment

Unless otherwise agreed in writing, 50% of the agreed project price is payable before work begins. The remaining 50% is payable after the website has been completed and approved by the Client, and before handover or launch.

1.6 Deposit

The initial 50% payment is treated as a project deposit. Once work has commenced, it is generally non-refundable, subject to any rights that cannot lawfully be excluded.

1.7 Client Approval

The Client will be given an opportunity to review the completed website. Once the Client approves it, the final balance becomes due before handover or launch.

1.8 Revisions

Reasonable revisions within the original project scope are included. Requests that substantially change the agreed requirements may be charged separately.

1.9 Client Delays

The Client is responsible for providing content, information, feedback and approvals. Delays caused by the Client may automatically extend the project timeframe.

1.10 Handover

After full payment, Spydra Designs will provide the agreed website handover. The exact handover process depends on the platform and services used.

1.11 Ongoing Maintenance

Ongoing maintenance is optional and may include website updates, content changes, minor design changes and general website management. Pricing and scope will be agreed separately.

1.12 Third-Party Services

Websites may rely on third-party platforms, hosting, domains, payment providers or software. Spydra Designs cannot guarantee uninterrupted availability or performance of third-party services.

1.13 Intellectual Property

Once the Client has paid the full agreed project price, the Client receives the agreed rights to use the completed website created specifically for them. Third-party materials remain subject to their own licences and terms. Spydra Designs retains rights to pre-existing materials, processes, templates and reusable resources.

1.14 Portfolio Use

Unless the Client requests otherwise in writing, Spydra Designs may display completed work in its portfolio, website, social media or marketing materials.

1.15 Cancellation

If a Client wishes to cancel, they should contact Spydra Designs promptly. Where work has commenced, payments may be retained to cover work already carried out.

1.16 Agreement

By approving a project and making the initial payment, the Client confirms acceptance of this Client Agreement and the applicable Terms and Conditions.

2. TERMS AND CONDITIONS

2.1 About These Terms

These Terms and Conditions govern website design and related services provided by Spydra Designs.

2.2 Business Customers

Our services are offered to business customers only, including companies, partnerships and sole traders acting in the course of business. We do not provide projects for consumers acting wholly for personal purposes.

2.3 Prices

Prices are agreed before work begins. Unless stated otherwise, third-party costs such as domains, hosting, premium software, paid plugins, stock imagery and external subscriptions are not included.

2.4 Payment Terms

50% is payable before work begins and 50% after completion and Client approval, before handover or launch. Work may be paused where payments are overdue.

2.5 Additional Work

Work outside the agreed scope may incur additional charges. Substantial additional work will be discussed with the Client before it is carried out.

2.6 Timelines

Project timeframes are estimates and depend on timely Client cooperation. Client-caused delays may extend the timeframe.

2.7 Client Responsibilities

The Client must ensure that supplied materials are accurate and that they have permission to use any images, logos, text, videos or other materials provided.

2.8 Website Content

Unless otherwise agreed, the Client is responsible for supplying final content and checking its accuracy before approval.

2.9 Approval

The Client is responsible for reviewing the completed website. Changes outside the agreed scope after approval may incur additional charges.

2.10 Hosting and Domains

Where a Client uses an independent domain or hosting provider, Spydra Designs is not responsible for that provider’s pricing, availability, policies or failures.

2.11 Maintenance

Ongoing maintenance is optional unless specifically included in the Client’s package and is subject to separately agreed pricing and scope.

2.12 Third-Party Platforms

Third-party platform changes, outages, restrictions or price increases may affect a website. Spydra Designs cannot guarantee uninterrupted third-party services.

2.13 Liability

Services will be provided with reasonable care and skill. To the extent permitted by law, Spydra Designs is not responsible for losses caused by circumstances outside its reasonable control, including third-party failures or Client-provided materials. Nothing excludes liability where doing so would be unlawful.

2.14 Refunds

Payments for work already carried out may not be refundable, subject to applicable law and the terms of the relevant agreement.

2.15 Cancellation by Spydra Designs

We may stop providing services where a Client fails to pay, requests unlawful activity, provides unlawful content, behaves abusively or materially breaches these Terms.

2.16 Force Majeure

We are not responsible for delays caused by circumstances outside our reasonable control, including major technical failures, outages, natural disasters, government actions or third-party failures.

2.17 Changes

We may update these Terms from time to time. The version applicable to a project will generally be the version agreed when that project begins.
